The agreement governing your use of the Vyana broker.

1. Acceptance
These Terms & Conditions (“Terms”) form a binding agreement between you and [Company Legal Name] (“Vyana”, “we”, “us”). By creating an account, pairing a device, or otherwise using the service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.
2. Definitions
- Service — the Vyana broker (the ASP identity provider), this console, and the related APIs.
- Agent — an AI assistant or program you authorize to act on your behalf.
- Merchant — a third-party service provider an Agent signs up for or pays.
- Consent Mandate (UCM) — the signed authorization defining the limits within which your Agents may act.
3. Eligibility
You must be at least 18 years old and able to enter a binding contract, and you must complete any identity verification (KYC) we require. You are responsible for the accuracy of the information you provide.
4. The service
Vyana lets you grant cryptographically-bounded consent once, after which your Agents may provision and pay for Merchant services within that consent. We verify each request against your active mandate and record it in an audit trail. We are a facilitator between you and Merchants; we are not the provider of the Merchant services themselves.
5. Your responsibilities
- Keep your device keys and account credentials secure; you are responsible for actions taken with them.
- Set and review your consent mandates. Actions your Agents take within an active mandate are authorized by you.
- Use the service lawfully and only for purposes permitted by these Terms and by each Merchant’s terms.
6. Authorization & consent mandates
When you issue a Consent Mandate, you authorize your Agents to provision services and incur charges up to the caps and within the scope you set. You may revoke or change a mandate at any time; revocation applies to future requests and does not unwind actions already completed. You remain responsible for charges validly incurred before revocation.
7. Payments, fees & taxes
Charges are presented in Indian Rupees and processed through our payment processor ([e.g. Razorpay]). You authorize us and the processor to charge your selected payment method or mandate for amounts validly incurred. Applicable taxes (including GST) may be added. Refunds, proration, and cancellations are handled per the cancellation flow in the console and any Merchant-specific terms.
8. Third-party (Merchant) services & account ownership
Merchant services are governed by the relevant Merchant’s own terms and privacy practices. Accounts provisioned or adopted through Vyana include an ownership credential that lets you claim direct ownership and move billing off the broker at any time. We are not responsible for Merchant services, their availability, or their content.
9. Acceptable use
You may not use the service to break the law, infringe others’ rights, circumvent the verification or consent controls, attempt to gain unauthorized access, or disrupt the service or its audit integrity.
10. Intellectual property
The service, including the Vyana name, software, and the Agent Signup Protocol materials, is owned by us or our licensors and protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the service.
11. Disclaimers
The service is provided “as is” and “as available”, without warranties of any kind to the maximum extent permitted by law. This deployment may be a reference / demonstration environment and is not guaranteed to be a production financial service.
12. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill. Our total liability for any claim is limited to [the greater of the amount you paid us in the 3 months before the claim, or ₹[amount]].
13. Indemnity
You agree to indemnify and hold us harmless from claims arising out of your misuse of the service or your breach of these Terms or of any Merchant’s terms.
14. Suspension & termination
You may close your account at any time. We may suspend or terminate access if you breach these Terms, to comply with law, or to protect the service. Provisions that by their nature should survive (payment, IP, disclaimers, liability) survive termination.
15. Governing law & disputes
These Terms are governed by the laws of India, and the courts of [city/state] have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have where you live.
16. Changes
We may update these Terms. We will post the new version here and update the “last updated” date; material changes take effect as required by law or after reasonable notice.
